NETGEM PLEIO SUBSCRIPTION TERMS OF USE

1.NETGEM PLEIO SUBSCRIPTION

These are the terms that apply to the use of your Netgem PLEIO subscription:

By joining, you get 12 months (initial terms) access to the PLEIO subscription (Cloud Gaming with 250+ games and 150+ Extra Channels) at the one-off price of £99 and the required CPE (customer premises equipment) to run the subscription.

The cost of the 12 months subscription is bundled in the initial purchase price.

A CPE (“the PLEIO puck”) is provided at purchase as part of the registration to the Netgem PLEIO subscription and is required/mandatory to access the subscription.

During the Initial Term, the CPE is provided to you on a loan basis and remains the property of Netgem UK. Ownership of the CPE will automatically transfer to you only upon completion of the Initial Term.

A wireless gamepad (“the PLEIO gamepad”) is provided to access the Netgem low-latency Cloud Gaming service.

In order to fully benefit from the PLEIO subscription you will need to create that Netgem PLEIO account as prompted on your TV (at start-up) where you will also find additional Terms and conditions.

No credit card details are taken as part of the 12 month registration to the PLEIO subscription .

At the end of the initial terms, the regular price of the subscription is £9.99/month. The monthly price may vary and will be presented to you at the end of the 12 month period with the relevant payment options. 

Access to Freely is free and will remain free after the initial terms without any PLEIO subscription required.

Our use of your personal information is governed by our [Privacy Policy].  You should review our Privacy Policy before establishing an account.

By setting up and/or using your Netgem PLEIO subscription, you expressly agree to be bound by these terms and acknowledge that they constitute a legally binding contract between you and Netgem UK.

The PLEIO subscription runs on Netgem’s owned infrastructure. The Puck/Device acts as a CPE, connecting directly to the Netgem UK-hosted proprietary TV Head-end and dedicated low-latency Cloud Gaming servers.


2. ABOUT NETGEM UK

Netgem UK LTD (we, us and our)) is a private limited company based in London. Our registered company number is 04719079, and our registered office is at Bank Chambers, 6 Borough High St, London SE1 9QQ. 3. YOUR PROFILE

The Netgem PLEIO subscription is intended for use only by persons who are: 
resident in the United Kingdom; and
at least 18 years old.

By setting up a Netgem PLEIO account you acknowledge these requirements and confirm that you meet these eligibility criteria.
When setting up your account, you will be requested to provide certain information about yourself. You are responsible for ensuring that any information you provide to us will be
(i) accurate, current, and complete;
(ii) updated when there is a change; and (iii) your own information and not that of another individual. If you provide any information that is untrue, inaccurate or incomplete, or we have reasons to suspect that such information is untrue, inaccurate or incomplete, we retain the right to suspend or terminate the account you have established and/or to refuse any or all current or future use of the account or any CPE linked to it.


Other than as set out in the our Liability section below, you agree that Netgem UK will not be responsible for any losses arising out of any unauthorized use of your Netgem PLEIO account.

For contractual purposes, you expressly consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide you electronically satisfy any legal requirement that such communications be in writing, unless mandatory applicable laws specifically require a different form of communication.


4. CANCELLATION AND RETURN POLICY

We always hope you will be happy with your new Netgem PLEIO subscription  but just in case you are not, we have set out below how to cancel and return your CPE.

If you have joined through Amazon, please follow the Amazon return policy.

If you have subscribed from the Netgem UK website, within 14 days of receiving your CPE, you elect to cancel your PLEIO subscription, just call us on 0207 242 0163, Monday to Friday between 09:00 and 17:30 or send us an email to support@netgem.co.uk. Our customer support advisors will be able to help you immediately and refund you. Here are some important things to remember though:  

If any damage is caused, or it is used beyond what’s reasonable, we have the right to charge you for any loss in value to the goods as a result of your use or damage. You are allowed to do what is reasonable to ensure you have received what you thought you were buying and that it works as expected. 

If you decide to proceed with a cancellation of your subscription, you will need to return and not only the CPE, but manuals, and accessories supplied with the subscription (remote, gamepad,.. ) in its original packaging. If anything is damaged or missing, you may be charged for these. We ask that you take care when returning the CPE to us. If you don’t return the CPE and accessories, we will not be able to process your refund request. 

Please note that this policy will not affect your statutory rights under the Consumer Rights Act 2015 or other applicable UK consumer protection legislation. For more information on your statutory rights, please contact your local authority Trading Standards Department or Citizens Advice Bureau.

The CPE includes a 1 year manufacturer warranty. This does not affect your statutory rights.


5. WHAT HAPPENED AFTER REGISTRATION?

Once you have purchased 12 months of the Netgem PLEIO subscription, you will have to  link your CPE to your account and have access to the PLEIO subscription services The Netgem PLEIO subscription includes:

12 months access to 250+ Games through our Cloud Gaming platform with new games added every month (Puck and gamepad required)

12 month access to 150+ Channels on top of Freely (Puck required)

Support for any questions you may have on the product while your subscription is active.

Note: Access to third party apps. Subscription to individual paid apps is required. Should you already have a subscription plan with any of the third party apps, you can log in with your existing credentials as per your subscription plan. Before using these services you might be requested to approve specific terms and conditions. We have no responsibilities or liability to you or to any third party under any such terms and conditions Access to third party apps is always free and does not require any subscription.

Note: Enjoy full access to Freely. Access to Freely is free and will remain free after the initial terms without any PLEIO subscription required. A minimum broadband speed of 10mb is recommended to stream live internet channels or watch on demand shows. Services, players and channels may not be available. Extra cost may apply for certain players or services. More information on Freely can be found here.


6. INTELLECTUAL PROPERTY RIGHTS

The Netgem PLEIO subscription and all content, software, trade marks, applications and potential offers that are accessed and displayed in the experience are provided for the sole purpose of your personal and non-commercial private use in the United Kingdom. The service is restricted to that territory.

All intellectual property rights of any content provided through the PLEIO subscription (including text, graphics, software, photographs and other images, videos, sound, trade marks and logos), are owned by their respective owners (and therefore may be subject to the terms of use of third-party providers)

These terms do not grant you the right to copy, distribute, prepare derivative works or publicly display any content provided. Any rights not expressly granted to you are reserved by us or the relevant third-party content providers and you acknowledge that you do not acquire any ownership rights by downloading any content from the third parties apps. You may not engage in or facilitate unauthorised access to or use of any content or apps. You are not allowed to use the subscription in a way that might damage our name or reputation or that of any of our affiliates; or otherwise do anything that it is not expressly permitted by these terms. All rights granted to you under these terms will terminate immediately in the event that you are in breach of any of them.


7. CLAIMS

If you believe that your rights are being infringed, you may submit a written notice to us by registered/tracked post mail. We will respond as soon as possible to rights owners and their agents who gently inform us by and submitting such notice to communicate concerns about any alleged infringement.

Upon receipt of a Notice Form we may take certain actions without any admission as to liability and without prejudice to any rights, remedies or defenses, all of which are expressly reserved. Furthermore, in submitting a Notice, you grant to Netgem UK the right to use, reproduce, modify, adapt, publish, translate, create derivative works from, and display its content throughout the world in any media. This includes forwarding the Notice to the parties involved in the provision of the allegedly infringing content. You agree to indemnify Netgem UK for all claims brought by a third party against Netgem UK arising out of or in connection with the submission of a Notice.

Warning: giving false, misleading or inaccurate information in the Notice to Netgem UK may result in civil and/or criminal liability. You should seek legal advice should you have any question.



8. SERVICE AVAILABILITY AND LEVEL

Your own equipment, such as your broadband provider/Internet connection, your wifi or your television set, may have some impact on the display quality of the PLEIO subscription. Please be aware that Netgem PLEIO may be compelled from time to time to suspend part or the whole range of its services for maintenance purposes


 9. MAINTENANCE OF THE SERVICES

Netgem UK reserves the right to automatically update your PLEIO subscription , including corrective maintenance (such as bug fixes, updates or changes to the user interface) that may add, alter or remove functionalities and features. You acknowledge that these updates may happen automatically in the background at any time (and that they cannot be disabled by you) and that these updates are necessary to maintain compatibility with other updates to our CPE/device or services and may be required for security reasons. By using the PLEIO subscription, you agree to receive such updates.



10. PROTECTION OF PRIVACY AND DATA


When creating a Netgem PLEIO account, Netgem UK might collect some of your personal data such as your email address, subscription activation information and demographics to the exclusion of any billing or payment information -processed through a through party).vFor any further details concerning your data protection, please refer to our Data Protection and Privacy Policy on our website at http://www.netgem.co.uk
By agreeing to be bound by these Terms of Use, you agree that you have read and understood the collection, use, transmission and disclosure of your information or data as described in the Data Protection and Privacy Policy. You should review the Data Protection and Privacy Policy before establishing a Netgem PLEIO Account and before linking your CPE to it. Our Data Protection and Privacy Policy and other content of the Netgem UK website may be changed by Netgem UK  in its sole discretion, without notice to you.


11. AMENDMENTS TO NETGEM PLEIO SUBSCRIPTION TERMS OF USE

As it is our policy continually to review and update our service offerings, Netgem UK is entitled to change at its sole discretion any term of the present document “Netgem PLEIO subscription-Terms of Use”. Any modification shall become effective as soon as it will be published on the Netgem UK website and/or in case of Netgem UK would send you a notification of such amendments to your latest email address provided by you to Netgem UK.

This is provided that we will not, unless you agree, make any changes in respect of the subscription you have already paid for that would significantly reduce the type or level of service you receive (except if we need to do so for security, legal or regulatory reasons) and/or increase the charges you are obliged to pay.

We will always give you as much notice as we reasonably can of such significant changes on the understanding that you have the option of accepting them or cancelling your subscription without penalty, in which case, you should notify us that you wish to cancel your subscription
Following the posting or notice by any of the methods described above, continued use of any subscription linked to your Netgem PLEIO account means you accept and agree to the amended Terms of Use. If you do not agree to the amended Terms of Use, Netgem UK may not be able to provide updates, upgrades or enhancements to your CPEs, and you may not be able to continue using your subscription or Netgem PLEIO Account.


12. OUR LIABILITY

Nothing in these terms shall limit or exclude our liability to you:

for death or personal injury caused by our negligence;

for fraudulent misrepresentation; 

for breach of any term implied by the Consumer Rights Act 2015 and which, by law, may not be limited or excluded; or

for any other liability that, by law, may not be limited or excluded. 

Subject to this, in no event shall we be liable to you for any business losses and any liability we do have for losses you suffer is strictly limited to losses that were reasonably foreseeable and shall not, in aggregate, exceed the total purchase price you fees paid by you for all of access to the Netgem PLEIO subscription linked to your Netgem PLEIO account..

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that are caused by events outside our reasonable control.

Whilst we try to make sure that content made available by the PLEIO subscription  consisting of information of which we are the source is correct, you acknowledge that the subscription may make content available which is derived from a number of sources, for which we are not responsible. In all cases, information made available by the PLEIO subscription is not intended to amount to authority or advice on which reliance should be placed. You should check with us or the relevant information source before acting on any such information. 

Except as set out in these terms, we make or give no representation or warranty as to the accuracy, completeness, currency, correctness, reliability, integrity, quality, fitness for purpose or originality of any content of the subscription and, to the fullest extent permitted by law, all implied warranties, conditions or other terms of any kind are hereby excluded and we accept no liability for any loss or damage of any kind incurred as a result of you or anyone else relying on the content of the subscription.


13. ADVERTISING AND PROMOTIONAL MESSAGES

Netgem UK and/or third-party providers may display advertising and promotional messages to you via the Netgem PLEIO subscription, and to include such advertising and promotional messages in or with any user interface, notice, or content that is displayed on your TV. Any interaction, transaction or agreement you have with third parties as a result of the advertising and promotional messages displayed to you are entirely between you and such third parties. Netgem UK is not responsible or liable for any claims, damages, losses or injuries arising from your interactions with such third parties.|


14. EXTERNAL LINKS AND THIRD PARTY SERVICES

The PLEIO subscription provides access to services or content provided by third parties or links to external sites, which may include links to third party offers and promotions. We include these to provide you with access to information, products or services that you may find useful or interesting. We are not responsible for the content of these sites or services or for anything provided by them and do not guarantee that they will be continuously available. The fact that we include links to such external sites does not imply any endorsement of or association with their operators or promoters.


15. DISCLAIMER AND LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) THE NETGEM PLEIO SUBSCRIPTION AND YOUR NETGEM PLEIO ACCOUNT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. NETGEM UK DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT THE NETGEM PLEIO SUBSCRIPTION OR THE USE OF NETGEM PLEIO ACCOUNT WILL BE: (I) UNINTERRUPTED, SECURE, VIRUS-FREE OR ERROR-FREE, OR (II) FREE FROM ATTACK OR SECURITY INTRUSION;

(B) IN NO EVENT SHALL NETGEM UK, ITS AFFILIATES COMPANIES, ITS SUBCONTRACTORS, ITS DIRECTORS, OFFICERS OR EMPLOYEES BE LIABLE TO YOU FOR PERSONAL INJURY OR PROPERTY DAMAGE, OR ANY SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF YOUR USE OF THE NETGEM PLEIO SUBSCRIPTION OR NETGEM PLEIO ACCOUNT; AND

(C) YOU AGREE THAT THE TOTAL CUMULATIVE LIABILITY OF NETGEM UK, ITS AFFILIATES COMPANIES, ITS SUBCONTRACTORS, ITS DIRECTORS, OFFICERS AND EMPLOYEES UNDER THESE ACCOUNT TERMS, INCLUDING LIABILITY RELATING TO THE NETGEM PLEIO SUBSCRIPTION, YOUR NETGEM PLEIO ACCOUNT, YOUR INFORMATION AND ALL CPES LINKED TO YOUR NETGEM PLEIO ACCOUNT, SHALL NOT EXCEED THE TOTAL PURCHASE PRICE YOU PAID FOR YOUR SUBSCRIPTION. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE REMEDY PROVIDED HEREIN FAILS ITS ESSENTIAL PURPOSE AND EVEN IF NETGEM UK, ITS AFFILIATES COMPANIES, ITS SUBCONTRACTORS, ITS DIRECTORS, OFFICERS OR EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LIABILITY.

Some jurisdictions do not allow exclusions OF CERTAIN warranties OR LIMITATIONS OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, so SOME OF the ABOVE LIMITATIONS IN THIS SECTION MAY NOT apply to You. NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU, AND You may also have other rights that vary from jurisdiction to jurisdiction.


16. APPLICABLE LAW

These Terms of Use are governed by and construed in accordance with the laws of England, and the application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. We both agree to submit to the non-exclusive jurisdiction of the relevant court of London (UK), which means that you may bring a claim to enforce your consumer protection rights in connection with these Terms of Use in London or in the United-Kingdom country in which you live. 17. MISCELLANEOUS

Netgem UK may transfer its rights and obligations under these terms to another organisation and/or affiliate company. You may only transfer your rights or your obligations under these Account Terms to another person if Netgem UK agrees in writing. 

These Terms are between you and Netgem UK. Except as expressly set out in these terms, no other person shall have any rights to enforce these terms.  Where you enter into separate terms and conditions with third parties we are not a party to those terms and conditions and shall have no right to enforce them or represent you with regard to that third party.  

Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect. 

If Netgem UK fails to insist that you perform any of your obligations under these terms, or if Netgem UK does not enforce its rights against you, or if Netgem UK delays in doing so, that will not mean that Netgem UK has waived its rights against you, or that you do not have to comply with those obligations. If Netgem UK does waive a default by you, Netgem UK will only do so in writing, but that will not mean that Netgem UK will automatically waive any later default by you.

These terms and any document expressly referred to in them represent the entire agreement between you and us in relation to their subject matter. We are required by law to advise you that any contract formed on these terms may be concluded in the English language only and that no public filing requirements apply.
